NanoVibronix Announces $6M Private Placement

ELMSFORD, N.Y.--(BUSINESS WIRE)--NanoVibronix, Inc., (NASDAQ: NAOV), a medical device company that produces the UroShield®, PainShield® and WoundShield® Surface Acoustic Wave (SAW) Portable Ultrasonic Therapeutic Devices, today announced that it has entered into securities purchase agreements with certain institutional and accredited investors to raise $6.0 million through the issuance of 8,571,429 shares of its common stock (or common stock equivalents) at a purchase price of $0.70 per share in a private placement. The closing of the private placement is expected to occur on or about December 4, 2020, subject to satisfaction of customary closing conditions.

H.C. Wainwright & Co., LLC acted as the sole placement agent for the offering.

The Company intends to use the net proceeds for general corporate purposes.
