
Under Armour (NYSE:UAA) has three classes of stock. Class A shares (UAA) that are voting shares with one vote per share. The Class B shares have ten votes per share while the Class C (NYSE:UA) stock have no voting rights. The Class B shares are not publicly traded.
Mr. Plank is the founder of Under Armour, the Chairman of the Board and CEO. The firm has had tremendous growth under his leadership.
Mr. Plank owns the Class B shares that have ten votes per share. This provides voting control. In the event that Mr. Plank's ownership of Class A and Class B shares fall below 15% of the outstanding shares, then the Class B shares automatically convert into Class A shares, according to the 10-K.
